The name of this body shall be the Administrative Assembly of Rutgers, the State University of New Jersey.
The Administrative Assembly shall provide a forum for the discussion of University policy as it affects members of the administrative staff, and of matters regarding University management and administration.
The Administrative Assembly shall take such opportunities as may be offered by the President of the University to participate in the formulation of University policy as it affects members of the administrative staff and the administration of the University.
The Administrative Assembly shall be responsible for conveying the sense of its constituency to the President of the University in matters regarding University policy, administration, and management.
The Administrative Assembly shall maintain an ethical code of conduct to guide the administrative, supervisory, and professional personnel in the performance of their duties.
The Administrative Assembly shall review any changes in University policy or procedures affecting the status of administrative personnel. The Administrative Assembly shall take such opportunities as may be offered by the President of the University to participate, with appropriate University officers, in identifying and resolving problems which arise in the administration of the University.

The membership of the Administrative Assembly shall consist of delegates elected from among the eligible administrative, supervisory, and non-academic professional employees. Excluded from membership are: (a) persons whose job titles are covered by a negotiating unit; (b) confidential employees; (c) persons holding faculty rank; (d) persons serving 'at the pleasure of the President'; and (e) persons at the Assistant Vice President level and higher.
Membership shall include delegates from each of the three regional campuses Camden, Newark, and New Brunswick. Representation shall include at least three delegates from the Camden and Newark campuses and five from the New Brunswick campus. For the purpose of this Assembly, the New Brunswick campus shall be divided into five units known as Busch, College Avenue, Cook, Douglass, and Livingston. New Brunswick campus representation shall consist of at least one delegate from each unit.
The above guaranteed representation shall be independent of the administrative population of the given campuses. Representation beyond the guaranteed minimum shall be determined by campus population. One additional delegate shall be s
elected for each 50 Administrative Assembly constituents or major part thereof.
University Human Resources shall establish the number of eligible employees on each the three major campuses in order to determine the exact number of delegates.
The immediate executive staff of the President of the University shall not be eligible but will be represented by one nonvoting delegate to be appointed by the President. To insure representation at all meetings by the President’s Office, an alternate shall also be appointed.
The term of a delegate shall begin July 1 and run for three consecutive University fiscal years. Elections shall be conducted annually with one-third of the membership standing for election each year.
Delegates must attend at least seven-tenths of the regular meetings convened during the year. A delegate not fulfilling this obligation is subject to the review of the Executive Committee, which will decide the delegate's status.
Each delegate must serve actively on at least one committee. Committee assignments shall generally be for the duration of the delegate's term. The delegate may petition the President of the Administrative Assembly for reassignment. A delegate absent from three consecutive committee meetings, or half the committee meetings in a calendar University fiscal year, shall have his or her committee membership reviewed by the committee chair and may be referred to the President of the Administrative Assembly for appropriate action.
The Administrative Assembly shall, by simple majority vote, appoint a new delegate to fulfill the unexpired term of a vacated Assembly seat. The new delegate shall be from the same regional campus and, where possible, from the same unit location of the individual he or she is replacing.
The Election, Nominations, and Membership Committee shall be responsible for orienting new delegates.

A list of eligible employees arranged according to major campus and/or unit shall be prepared as of the first business day following January 1 each year.
University Human Resources, in conjunction with the Election, Nominations, and Membership Committee, shall prepare the list and determine the number of delegates for each regional campus. This list shall become the property of the Administrative Assembly. Access to the ballot shall be by declaration. Declarations must be submitted no later than February 1 to the Election, Nominations, and Membership Committee. Ballots shall be mailed by February 10 and counted if received not later than the normal University Human Resources closing hour on March 1. Election to the Assembly shall be awarded the candidates from each campus or unit having a plurality of the votes cast and shall be certified by the Election, Nominations, and Membership Committee to the Administrative Assembly at the March general meeting, which shall ratify the election by simple majority vote.

The officers shall be President, Vice-President, Secretary, Corresponding Secretary, and Treasurer.
A slate of candidates shall be presented by the Election, Nominations, and Membership Committee at the March meeting. Nominations from the membership may be made from this time until the close of the nominations at the April meeting. Such nominations must have the consent of the nominee. Elections shall be held at the April meeting immediately following the close of nominations.
The Chair of the Election, Nominations, and Membership Committee shall preside over the meeting at which officers are being elected and shall conduct the elections. No other business shall be conducted at this time. Nominations from the floor shall be solicited during this special meeting. Upon completion of the elections the The incoming officers shall immediately assume their duties as of the start of the next University fiscal year (July 1).
The President shall preside over meetings and shall appoint committees as required.
The Vice-President shall serve in the President’s absence and supervise the publishing of the Administrative Assembly’s newsletter, The Administrator.
The Secretary shall maintain a roster of members and committee assignments, take, publish, and distribute minutes of meetings.
The Corresponding Secretary shall initiate or reply to correspondence as required.
The Treasurer shall prepare the asking budget and maintain the working budget.

The Administrative Assembly shall establish committees to handle various functions as the need arises. The Administrative Assembly shall dissolve such committees when their work is completed.

The Administrative Assembly shall meet at least once per month from September through June for the purpose of discussing issues mutually agreed upon by the membership as being of significance to a sufficient portion of the constituency to warrant consideration. Special meetings may be convened by the President, Executive Committee, or by petition of one-third of the Administrative Assembly delegates, or at the request of the President of the University or his or her delegate.
To facilitate informed discussion, an agenda will be prepared by the Secretary at the direction of the Administrative Assembly and the President of the Assembly. The agenda must be approved by the Assembly, sitting as a committee of the whole, prior to the beginning call to order of each the meeting.
Items not included on the agenda may be introduced into the discussion on the motion of an elected delegate and with the concurrence of two-thirds of the delegates present and voting.

A quorum shall consist of one-third of the elected delegates.

These bylaws can be amended, subject to the approval of the President of the University, at any regular meeting of the Assembly, by a two-thirds majority vote, provided the amendment was submitted in writing at the previous regular meeting.
If an amendment to these bylaws changes the term of officers, currently serving officers shall continue in office until the next election specified by the amended bylaws.
